Agreement to Terms

By accessing or using PubShare, a service provided by Kydala Publishing, Inc., you agree to be bound by these Terms of Service. If you do not agree to these Terms, do not use the service.

These Terms apply to two kinds of users:

  • Publishers — people and organizations who use PubShare to manage and publish their books. Most of these Terms apply to publishers.
  • Customers — people who buy ebooks from the PubShare Store. Customer-specific terms are in "Ebook Purchases from the PubShare Store" below.

Where a section applies only to one type of user, it is labeled.

Description of Service

PubShare is a royalty management platform for publishers and authors. It provides tools to publish books through supported retailers, track sales data, calculate royalty splits, generate statements, and help process royalty payments.

PubShare also operates the PubShare Store, a direct-to-customer ebook store. Purchases on the PubShare Store are sold by Paddle as the Merchant of Record (see "Ebook Purchases from the PubShare Store" below).

PubShare provides software and administrative tools. PubShare does not provide legal, tax, accounting, or financial advice.

Account Registration

To use PubShare, you must:

  • Be at least 18 years of age
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly update your information if it changes
  • Accept responsibility for all activities under your account

You are responsible for anyone who uses your account with your login credentials.

Your Content and Data

You retain ownership of the content you upload to PubShare, including book files, cover images, descriptions, and metadata. You also retain ownership of contributor information and royalty settings you configure.

You give PubShare permission to store, process, display, and use that data as needed to operate the service.

You are responsible for making sure you have the rights and authority to upload, publish, distribute, and manage any books, content, or royalty arrangements you submit through PubShare.

Acceptable Use

You agree not to:

  • Use the service for any unlawful purpose
  • Upload false, misleading, or fraudulent information
  • Upload content you do not have the right to use or distribute
  • Attempt to gain unauthorized access to any part of the service
  • Interfere with the proper functioning or security of the platform
  • Violate the intellectual property rights of others

Prohibited Content (Acceptable Use Policy)

This section applies to publishers and to any books published through PubShare. When you submit a book for publication on any bookstore, you affirm that the book does not contain any of the categories listed under Auto-rejected categories below.

False or reckless attestation is grounds for account termination, removal of all your books from the PubShare Store, forfeiture of unpaid royalties tied to the offending content, and — where the content is itself illegal — referral to law enforcement.

Auto-rejected categories

Books in any of these categories may not be sold on the PubShare Store. They are rejected on submission or removed if discovered post-sale:

  • Child sexual abuse material (CSAM) — sexually explicit content depicting, or that a reasonable person would read as depicting, anyone under 18, written for prurient purposes. This includes ambiguously-aged characters in sexual contexts.
  • Bestiality — sexual content involving non-human animals.
  • Real-person non-consensual sexual content — "revenge porn" narratives, sexualized depictions of identifiable real people without their consent, or fiction repackaging real abuse.
  • Terrorism and incitement — recruitment material for designated terrorist organizations, operational instructions for attacks, or named-target threats.
  • Hate speech as incitement — calls for violence against identified groups based on race, ethnicity, religion, sex, gender identity, sexual orientation, disability, or national origin.

Categories routed to admin review

These are not automatic rejections. PubShare may hold the book for review, require disclaimers, contact the author, or remove the book if the content cannot be brought into compliance:

  • Medical advice presented as fact, especially advice that could plausibly cause harm if followed without professional supervision.
  • Financial advice with guaranteed-return claims or high-pressure investment pitches.
  • Dangerous misinformation on topics with established public health consensus (for example, vaccine safety, infectious disease transmission).
  • Plausible intellectual-property infringement that the author cannot demonstrate a license or fair-use basis for.

Fiction with mature themes

Fiction that explores violence, abuse, addiction, war, bigotry, or other dark subject matter is not prohibited. Literary fiction routinely depicts these things without endorsing them. The categories above target content that either is itself unlawful or that operationally promotes real-world harm — not the depiction of harm within a story.

Ebook Purchases from the PubShare Store

This section applies to customers — people who buy ebooks from the PubShare Store. If you only use PubShare to publish or manage your own books, this section does not apply to you.

Paddle is the Seller

Ebook purchases on the PubShare Store are sold by Paddle as the Merchant of Record. That means Paddle, not PubShare or the author, is the seller you are buying from. Paddle is responsible for taking payment, charging applicable sales taxes, issuing the receipt, and handling refunds and chargebacks.

Refunds

PubShare offers a 30-day full refund on ebook purchases. If you bought an ebook from the PubShare Store within the last 30 days, you can request a full refund by contacting us. Refunds are processed through Paddle and typically return to your original payment method within several business days.

Chargebacks and Disputes

If you have a problem with a purchase, please contact us first so we can help resolve it. Filing a chargeback with your bank or card issuer without first contacting us may delay or prevent a resolution.

Your Statutory Rights

If you live in the EU, UK, or another region with consumer protection laws, you may have additional refund or withdrawal rights under local law. The 30-day refund policy above does not replace those rights.

Financial Terms

Royalty Calculations

PubShare provides tools to calculate royalties based on the data and settings you provide. You are responsible for reviewing and verifying royalty splits, statements, contributor information, and payment details, and for making sure they match your agreements with authors and other parties.

Payments

PubShare helps facilitate royalty payments. You are responsible for providing accurate payment and tax information. PubShare is not responsible for disputes between publishers, authors, or other participants regarding royalties, ownership, contract terms, or payment amounts.

PubShare may delay or hold payments when reasonably necessary to investigate fraud, resolve errors, comply with the law, or protect the service.

Fees

PubShare retains 10% of distributed royalties as a service fee for royalty splitting, payout processing, reporting, and related platform features. Some optional services may have separate fees. By using PubShare, you agree to the fee structure in effect at the time the service is used.

Intellectual Property

The PubShare platform, including its software, design, branding, features, and content, is owned by Kydala Publishing, Inc. These Terms do not give you any ownership rights in the PubShare platform itself.

Service Availability

PubShare works to provide a reliable service, but it is offered on an "as is" and "as available" basis. PubShare does not guarantee uninterrupted service, error-free operation, or that the platform will always be available.

Limitation of Liability

To the maximum extent permitted by law, Kydala Publishing, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, business opportunities, or goodwill arising out of or related to your use of, or inability to use, PubShare.

Termination

PubShare may suspend or terminate your account if you violate these Terms, misuse the service, or create risk for the platform or its users.

You may stop using the service at any time.

If your account is terminated, you may request an export of your data within 30 days, unless PubShare is required to keep certain information for legal, tax, security, or recordkeeping reasons.

Changes to Terms

These Terms of Service may be updated from time to time. The "Last updated" date will be revised when changes are made. If the changes are significant, PubShare may notify you by email or through the platform. Continued use of the service after changes take effect means you accept the updated Terms.

Governing Law

These Terms are governed by the laws of the State of Washington, without regard to conflict of law principles.

Purpose of Terms of Service

This document is a legal agreement between you and PubShare. It covers two kinds of users: publishers (people using PubShare to manage and publish their books) and customers (people buying ebooks from the PubShare Store).

For Publishers

In plain terms, here is what you need to know:

  • You must be 18 or older: You are responsible for your account and for keeping your login secure.
  • Use PubShare honestly: Do not upload false information, misuse the platform, or interfere with how it works.
  • Your content is still yours: You keep ownership of the books, files, and information you upload, but you give PubShare permission to use that information to run the service.
  • You must have the rights to what you upload: If you publish or manage books through PubShare, you are responsible for making sure you have the authority to do so.
  • You review the royalty details: PubShare provides the tools, but you are responsible for checking royalty splits, contributor settings, payment details, and statements.
  • Fees apply: PubShare keeps its service fee from distributed royalties, and some optional services may have separate fees.
  • Service is not guaranteed to be perfect: PubShare works to be reliable, but it is provided as available and may not always be uninterrupted or error-free.
  • Accounts can be suspended or terminated: If you misuse the service or break the rules, PubShare may suspend or terminate your account.
  • You can request your data after termination: If your account is terminated, you may request an export of your data within 30 days, unless some information must be kept for legal or recordkeeping reasons.
  • The terms may change: If important changes are made, PubShare may notify you by email or through the platform.

About the Acceptable Use Policy

Whenever you publish a book through PubShare, you have to confirm that it does not contain certain kinds of content.

  • Some content is auto-rejected from every bookstore. PubShare will not publish books containing child sexual abuse material, sexual content involving animals, sexual content of real people without their consent, material that recruits for or instructs on terrorist attacks, or calls for violence against identified groups.
  • Some content goes to admin review. This includes medical or financial advice presented as fact, dangerous misinformation, and unexplained intellectual-property infringement. These rules are required by our payment processor.
  • Fiction with dark themes is fine. Stories that depict violence, abuse, war, bigotry, or other dark subject matter are not prohibited. Depicting something is not the same as promoting it.
  • You attest at publish time. Whenever you submit a book for publication, you tick a box confirming the book does not fall into the auto-rejected categories. False attestation can end your account.

For Customers (Buying Ebooks)

If you buy an ebook from the PubShare Store, here is the short version:

  • Paddle is the seller, not PubShare: When you buy an ebook, you are buying it from a company called Paddle, not from PubShare or the author. Paddle takes your payment, charges any sales tax, sends you the receipt, and handles refunds.
  • 30-day refunds: If you change your mind within 30 days, you can get a full refund. Just contact us to request it.
  • Talk to us first if something is wrong: If you have an issue with a purchase, contact us before filing a chargeback so we can help fix it.
  • You still have your legal rights: If your country gives you extra refund or withdrawal rights (for example, in the EU or UK), those rights still apply.
